1. General:
The terms and conditions on this form constitute the entire agreement between the parties. All sales of UnyTouch Manufacturing Inc. (hereafter called UnyTouch) are expressly conditioned under the Terms and Conditions set below (the Terms) which are the only Terms of this sales and supersede all prior negotiations, correspondence and statements. These Terms may in some instances conflict with those of the Buyer's purchase order or other order. If so, such terms not in conformance with these Terms are rejected and Seller's Terms shall govern. Acceptance of Buyer's order is expressly conditioned upon Buyer's acceptance of or assent to Seller's Terms which shall be established by a written acknowledgement, by implication, or by acceptance or payment for products ordered hereunder. Seller's failure to object to provisions contained in any communication from Buyer shall not be deemed a waiver of these Terms. Any changes in these Terms must specifically be agreed to in writing and signed by a UnyTouch officer before becoming binding. Retention by Buyer of any products sold hereunder shall conclusively deemed acceptance of these Terms.

2. Payment:
Prices quoted are net. Please add 7% GST and 8% PST where applicable. Clients must complete PST form to qualify for exemption, otherwise taxes must be paid at time of sale. All orders are C.O.D. unless an application for credit has been approved. Terms for accounts are: 2% discount on accounts paid 15 days after invoice date. Interest of 2% per month will be charged on overdue accounts. Any accounts exceeding 60 days or exceeding approved credit limits may be placed on C.O.D. without notice to the customer. Extended inactive accounts may need to reapply for credit. Please notify UnyTouch of any discrepancy in billing within 3 days of receipt of invoice. C.O.D. orders are payable by company cheque, Visa, Master Card, Amex, Direct Debit or cash.

3. Shipping:
All shipments are made FOB Seller's shipping point unless otherwise specified. In the absence of specific instructions Seller selects the carrier. Title to products and risk of loss pass to buyer upon delivery therof by Seller to carrier or delivery service. Buyer assumes risk of loss in shipping and all liability for loss of damages, whether direct, indirect, consequential, or otherwise, due to delays once the products have been delivered to carrier. Buyer agrees to purchase any and all insurance it deems necessary to indemnify it against and loss in shipping. Buyer agrees to reimburse Seller for any such insurance cost immediately upon receiving an invoice thereof.

4. Warranty:
Under this Standard Warranty, Unytouch warrants the Product against any and all defects in materials and workmanship for a period of THREE (3) YEARS (for Touch Monitors, Open Frame Monitors, Resistive Touch Sensors, Capacitive Touch Sensors, IR Touch, SAW Touch and Touch Sensor Electronics) and ONE (1) YEAR (for All In One Monitors, PC’s and Accessories) from the date of the original retail purchase. Should the original retail invoice or receipt not be available, the applicable warranty period will begin on the date of manufacture as recorded by Unytouch.

5. Obtaining Warranty Service:
If you purchased the product in the U.S. and Canada contact our service department at 800.260.6249 To obtain an Return Merchandise Authorization number (RMA Number). Deliver the product, at your expense, to our Canadian or US repair facility. You will be asked to furnish your name, address, telephone number, and proof of the original purchase (receipt) containing a description of the product(s), purchase date, and the appropriate serial number(s).

Note: Before you deliver your product for warranty service it is your responsibility to keep a separate backup copy of the system software, application software and data, and disable any security passwords. You will be responsible for reinstalling all such software, data and passwords. Data recovery is not included in the warranty service and UnyTouch is not responsible for data that may be lost or damaged during transit or a repair.

6. Exclusions and Limitations:
This Limited Warranty applies only to hardware products sold by UnyTouch through it's authorized agents. The Limited Warranty does not apply to any third party hardware products or any software, even if packaged or sold with UnyTouch hardware. Third party manufacturers, suppliers, or publishers may provide their own warranties. UnyTouch and its Authorized Service Providers are not liable for any damage to or loss of any programs, data, or other information stored on any media, or any non UnyTouch product or part not covered by this warranty. Recovery and reinstallation of system and application software and user data are not covered under this Limited Warranty. This warranty does not apply: (a) to damage caused by accident, abuse, misuse, misapplication, or non-UnyTouch products; (b) to damage caused by service (including upgrades and expansions) performed by anyone who is not a UnyTouch Authorized Service Provider; (c) to a product or a part that has been modified without the written permission of UnyTouch or (d) if any UnyTouch serial number has been removed or defaced

THIS WARRANTY AND REMEDIES SET FORTH ABOVE ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, REMEDIES AND CONDITIONS, WHETHER ORAL OR WRITTEN, EXPRESS OR IMPLIED. UnyTouch SPECIFICALLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. No UnyTouch reseller, agent, or employee is authorized to make any modification, extension, or addition to this warranty.

UnyTouch IS NOT RESPONSIBLE FOR DIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ANY BREACH OF WARRANTY OR CONDITION, OR UNDER ANY OTHER LEGAL THEORY, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DOWNTIME, GOODWILL, DAMAGE TO OR REPLACEMENT OF EQUIPMENT AND PROPERTY, ANY COSTS OF RECOVERING, REPROGRAMMING, OR REPRODUCING ANY PROGRAM OR DATA STORED IN OR USED WITH UnyTouch PRODUCTS, AND ANY FAILURE TO MAINTAIN THE CONFIDENTIALITY OF DATA STORED ON THE PRODUCT. UnyTouch SPECIFICALLY DOES NOT REPRESENT THAT IT WILL BE ABLE TO REPAIR ANY PRODUCT UNDER THIS WARRANTY OR MAKE A PRODUCT EXCHANGE WITHOUT RISK TO OR LOSS OF PROGRAMS OR DATA.
